Corporate Law Books Recommendations

I am currently working for a major NY law firm in Europe. I will be seconded to the headquarters for a few months next year and am considering to apply for the CLS LLM in corporate law.

Could someone please recommend books as an introduction to US corporate law. Maybe even books which are used in LLM programs.

i'm using a book called "commentaries and cases on the law of business organization" by allen (nyu prof), kraakman & subramanian (hls profs). i'm using it in john armour's corporations class here in columbia, and it's pretty good. there's a good amount of discussion that doesn't always appear in regular casebooks, the cases are well selected and edited.

- KLEIN, RAMSEYER, BAINBRIDGE, Business Associations
- BAINBRIDGE, Corporate Law
- KLEIN and COFFEE, Business Organization and Finance

I'm a bit confused... when I researched Columbia's LLM program, I did not find that they had a Corporate Law LLM program? Is this incorrect? Any help would be appreciated.

Well, you might not get a degree such as "LL.M, Columbia, Corporate Law" as CLS lets you select you courses as far as I know. But you can specialise in corporate law if you study at CLS. I belive they have one of the best programs in regard to corporate law - without wanting to intervene on any discussion on this site whether NYU or CLS is better.

yes this is correct. there is no "corporate law concentration". the columbia program is a general llm (you just get a plain vanilla "LL.M."). but if you take eight classes related to corp law, you basically have a corporate law llm. in my case, the flexibility of the program works very well. i will take the core corporate law courses (securities, corporations, bankruptcy, m&a, banking, international commercial transactions), but i will also take other courses that interest me like constitutional law, IP, telecoms and international relations. the load is a bit difficult, but we're only here for a year, so we really have to take advantage of all opportunities!

For me this general LL.M. is great too. It allows for more flexibility in schedules :)
